Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of the Orient platform and related services (collectively, the “Service”). Your use of the Service is also subject to our Privacy Policy [link], which is incorporated into these Terms by reference. By creating an account, applying as a mentor, booking a session, or otherwise using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

For this draft, “Orient,” “we,” “us,” and “our” means [INSERT LEGAL ENTITY NAME], acting as merchant of record for all bookings processed through the Service.

1. Definitions

  1. “Mentee” means a user seeking mentorship sessions through the Service.

  2. “Mentor” means a user approved by Orient to offer mentorship sessions through the Service.

  3. “Booking Request” means a mentee’s request to book a session with a mentor.

  4. “Session” means a mentorship appointment requested and, if approved, confirmed through the Service.

  5. “Dashboard” means the user account interface for managing profile, bookings, and settings.

2. Eligibility and Account Creation

  1. You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) and legally able to enter into contracts.

  2. Mentees may create accounts using supported sign-in methods, including Google or LinkedIn.

  3. Any user who creates an account is, by default, treated as a Mentee unless and until approved as a Mentor.

  4. You must provide accurate information and keep your account credentials secure.

  5. You are responsible for activity that occurs under your account.

  6. By creating an account, you agree to these Terms and the Privacy Policy.

3. Mentor Application and Approval

  1. Users who want to provide mentorship must apply to become a Mentor.

  2. Orient reviews mentor applications and may approve or reject applications at its sole discretion.

  3. Mentor eligibility criteria include:

  4. Verification of professional coaching experience, including employment checks.

  5. Review of prior mentorship experience.

  6. Alignment with Orient’s mission to support young adults entering or progressing in their careers.

  7. Once approved, the Mentor profile may be made live and the Mentor may access mentor dashboard features, including:

  8. Booking requests.

  9. Profile settings and descriptors.

  10. Availability configuration.

  11. Pricing configuration.

4. Role of Orient; Merchant of Record

  1. Orient is the merchant of record for transactions processed on the Service.

  2. Orient operates the platform connecting mentees and mentors and facilitates booking, payment processing, and related communications.

  3. Orient does not guarantee any specific mentorship outcome, job result, academic result, or career advancement.

  4. Mentors are independent users of the Service and are not employees of Orient unless explicitly stated in a separate written agreement.

5. Booking Flow and Payment Authorization

  1. Mentees must be logged in to submit a Booking Request.

  2. Mentees may search mentors by job title, company, and other listed attributes.

  3. Mentees select an available date/time slot, review session details, and submit payment details at checkout.

  4. On submission, payment is authorized/placed on hold and is not charged unless the Mentor approves the Booking Request.

  5. If the Mentor approves:

  6. The mentee is charged.

  7. Booking confirmation, invoice, and meeting details are provided by email and dashboard.

  8. If the Mentor rejects:

  9. The mentee is not charged.

  10. Rejection notice is provided by email and dashboard.

6. Rescheduling, Cancellations, and No-Shows

  1. No Rescheduling: Orient does not currently support rescheduling. Changes require cancellation.

  2. Cancellation by Mentee:

  3. If canceled more than 24 hours before session start: mentee is refunded to original payment method, less a service fee (if any) disclosed at cancellation.

  4. If canceled within 24 hours of session start: full booking price is charged; no refund.

  5. Cancellation by Mentor:

  6. Mentors may cancel at any time.

  7. Mentee receives a full refund of booking price.

  8. Mentor account may be flagged and subject to penalties for late cancellations.

  9. Orient may absorb non-recoverable payment processor fees.

  10. No-Show by Mentor: mentee receives a full refund of booking price; mentor may be flagged and penalized. Orient may absorb non-recoverable payment processor fees.

  11. No-Show by Mentee: full booking price is charged; no refund.

7. Refunds and Disputes

  1. Eligible refunds are returned to the original payment method and typically appear within 5–7 business days, depending on card issuer and payment network timing.

  2. There is no automatic refund for disputes.

  3. If a refund has not been received, users must contact: info@orient-path.ca

  4. Disputes are reviewed using objective factors, including platform records and applicable policies.

  5. Orient may issue full, partial, or no refund at its discretion, and refunds are not guaranteed even where criteria may be met.

8. Fees, Payouts, and Taxes

  1. Platform fee is 10%.

  2. No separate platform fee is charged to mentees beyond the displayed booking price.

  3. Mentor payout is generally session price less applicable platform fee and any required deductions.

  4. Payout timing and method are subject to Orient’s payout process and payment processor requirements.

  5. You are responsible for taxes applicable to your use of the Service or income received through the Service, except taxes imposed on Orient’s net income.

9. Communications and Notices

  1. Orient, mentees, and mentors communicate primarily via email for booking updates, confirmations, notices, and support.

  2. You consent to receive service-related emails as part of using the Service.

  3. You must maintain a valid and current email address in your account.

10. User Conduct

You agree not to:

  1. Use foul, abusive, harassing, discriminatory, or threatening language.

  2. Engage in inappropriate or sexual content/conduct.

  3. Provide knowingly false or factually incorrect information in mentorship sessions.

  4. Violate law, infringe rights, or misuse the Service.

  5. Attempt to bypass platform controls or payment flows.

11. Suspension, Enforcement, and Appeals

  1. Orient may investigate potential policy or Terms violations.

  2. Mentor accounts may be suspended for reasons including conduct violations, inappropriate behavior, or repeated reliability failures.

  3. Orient may consult mentors before final suspension decisions where appropriate.

  4. Mentors may appeal suspension decisions.

  5. Restoration after appeal is not guaranteed.

  6. Orient may suspend or terminate any account where necessary for safety, legal compliance, fraud prevention, or platform integrity.

12. Intellectual Property and License

  1. The Service, including software, branding, and platform content (excluding user-submitted content), is owned by Orient or its licensors.

  2. Users retain ownership of content they submit, but grant Orient a non-exclusive, worldwide, royalty-free license to host, use, display, reproduce, and process such content as needed to operate, secure, improve, and provide the Service.

  3. You represent you have rights to submit any content you upload.

13. Privacy

Use of the Service is also governed by our Privacy Policy, available at [INSERT PRIVACY POLICY URL], which describes how we collect, use, disclose, and protect your personal information. By using the Service, you acknowledge that you have read and understand the Privacy Policy.

14. Disclaimers

  1. The Service is provided “as is” and “as available.”

  2. To the fullest extent permitted by law, Orient disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

  3. Orient does not warrant uninterrupted availability or error-free operation.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Orient and its officers, directors, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to damages for loss of profits, revenue, business, goodwill, reputation, data, opportunity, or other intangible losses arising out of or related to your use of, or inability to use, the Service.

Orient is not responsible for the conduct, actions, statements, advice, or services of mentors, mentees, or other users of the Service. Any interactions, communications, or Sessions between users occur at their own discretion and risk.

Without limiting the foregoing, to the fullest extent permitted by law, Orient’s total liability arising out of or related to any claim will not exceed the greater of:

(a) CAD $100; or
(b) the amount paid by the claimant for the specific Session giving rise to the claim.

These limitations apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and even if Orient has been advised of the possibility of such damages.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Orient and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  1. Your use of the Service.

  2. Your violation of these Terms.

  3. Your violation of applicable law or third-party rights.

17. Force Majeure

Orient is not liable for delay or failure to perform caused by events beyond reasonable control, including outages, network failures, labor disputes, natural disasters, public emergencies, or governmental actions.

18. Changes to Terms

  1. Orient may modify these Terms at any time.

  2. Material updates will be communicated via email or platform notice.

  3. Continued use of the Service after the effective date of updated Terms constitutes acceptance.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of [INSERT GOVERNING LAW JURISDICTION], without regard to conflict of laws rules.
